By creating an account, accessing, or using ReplyReviews (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (or the business entity you represent) and ReplyReviews. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

These Terms apply alongside our Privacy Policy, which is incorporated by reference.

ReplyReviews is an AI-powered platform that helps businesses manage and respond to online reviews, social media comments, and other customer engagement across connected platforms. The Service includes, but is not limited to:

• AI-generated reply drafts for customer reviews and social media comments
• AI-generated images for use in posts and responses
• Bulk reply generation and scheduling
• Analytics and sentiment tracking across connected platforms
• Integration with Google Business Profile, Meta (Facebook & Instagram), Threads, and YouTube

Features are subject to change. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To access the Service you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and not share it with third parties
• Notify us immediately at contact@replyreviews.com if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years old to create an account. Accounts registered by automated means or bots are not permitted.

We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or are inactive for an extended period.

ReplyReviews uses a credit-based system to power AI features. Credits are consumed when you use AI-powered actions within the platform. The following credit policies apply:

How Credits Work

Credit Purchases

• Credits may be purchased in bundles or as part of a subscription plan
• All credit purchases are denominated in USD and processed via our payment provider
• Purchased credits are non-refundable once consumed by AI actions
• Unused credits in a subscription plan do not roll over unless explicitly stated in your plan description
• Credits have no monetary value and cannot be transferred to another account

Subscription Plans

• Subscription fees are billed in advance on a monthly or annual basis
• You authorize us to charge your payment method on file at the start of each billing cycle
• Canceling a subscription stops future charges; access continues until the end of the current billing period
• We reserve the right to change plan pricing with at least 30 days' notice via email before changes take effect

Refunds

Subscription fees are non-refundable except where required by applicable law or at our sole discretion. If you believe you have been charged in error, contact us within 30 days at contact@replyreviews.com.

Taxes

You are responsible for all applicable taxes associated with your purchase. Where required by law, we will collect and remit taxes on your behalf.

ReplyReviews uses artificial intelligence to generate replies, images, and other content on your behalf. By using these features, you acknowledge and agree to the following:

Your Responsibility

• You are responsible for all AI-generated content you publish. Always review AI-generated replies and images before posting them publicly.
• AI-generated content is provided as a draft suggestion. It is your responsibility to ensure content is accurate, appropriate, and compliant with the rules of the platform it is posted on.
• Do not rely on AI-generated content for legal, medical, financial, or other professional advice.

Content Accuracy

• AI models can produce inaccurate, incomplete, or outdated information. We make no warranties about the accuracy of AI-generated content.
• Credits are consumed when a generation is requested, regardless of whether you choose to use or publish the output.

Prohibited AI Uses

You may not use ReplyReviews AI features to generate content that:

• Is defamatory, harassing, threatening, or abusive
• Infringes on third-party intellectual property rights
• Is deceptive, misleading, or constitutes false advertising
• Violates the terms of service of any connected platform
• Contains hate speech, explicit content, or material that violates applicable law
• Impersonates a person or entity

AI-Generated Images

• Images generated by ReplyReviews are created by third-party AI models. You are granted a non-exclusive license to use generated images for the business purposes within our platform.
• You may not claim that AI-generated images were taken by a human photographer or are original photography in any misleading way.
• We are not liable for claims arising from third parties regarding generated image content.

Ownership of Output

Subject to these Terms and applicable law, you own the AI-generated content produced using your account and data. ReplyReviews retains no ownership over your specific published outputs. We may use anonymized, aggregated interaction data to improve our AI models, as described in our Privacy Policy.

ReplyReviews allows you to connect third-party accounts (Google Business Profile, Meta, Threads, YouTube) to the Service. By connecting these accounts:

• You represent that you have the authority to connect those accounts and grant us permission to act on your behalf within the scope of permissions you authorize.
• You agree to comply with the respective terms of service and community guidelines of each connected platform.
• You understand that ReplyReviews is not affiliated with, endorsed by, or sponsored by Google, Meta, or YouTube.
• Connected platform APIs may change, be deprecated, or become unavailable. We are not responsible for disruptions caused by third-party API changes outside our control.
• You may disconnect any connected account at any time via Settings → Connected Accounts.

Publishing through connected platforms is subject to those platforms' own terms. Violations of platform rules are your sole responsibility.

You agree to use ReplyReviews only for lawful purposes and in a manner consistent with these Terms. You must not:

• Use the Service to harass, abuse, or harm any individual or group, including review authors
• Attempt to circumvent, disable, or interfere with security features of the Service
• Use automated scripts, bots, or scrapers to access the Service beyond what is permitted by our API
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Resell, sublicense, or commercially exploit the Service without our express written permission
• Use the Service to engage in spam, phishing, or other deceptive practices
• Manipulate or fabricate reviews or ratings on any platform in violation of that platform's policies
• Upload malicious code, viruses, or any content that could damage our systems or those of other users

Violations of this policy may result in immediate account suspension without refund and may be reported to relevant authorities.

Our IP

The ReplyReviews platform, including its software, design, trademarks, logos, and underlying technology, is owned by ReplyReviews and protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without prior written consent.

Your Content

You retain ownership of content you provide to the Service (such as your business information, review data, and custom reply templates). By using the Service, you grant ReplyReviews a limited, non-exclusive, worldwide license to process and display your content solely to provide and improve the Service.

Feedback

If you submit suggestions, feedback, or feature requests, you grant us the right to use that feedback freely and without compensation or attribution.

DMCA

If you believe content on the Service infringes your copyright, please send a notice to contact@replyreviews.com with sufficient detail to identify the allegedly infringing material.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure at all times
• AI-generated content will be accurate, complete, or suitable for your specific use
• Results obtained from the Service will meet your expectations or business goals
• Connected platform integrations will remain available or function without disruption

You assume full responsibility for evaluating all AI-generated content before publishing. ReplyReviews is a tool to assist, not to replace, your professional judgment.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REPLYREVIEWS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or damage to reputation arising from AI-generated content you publish
• Costs of substitute services
• Damages resulting from unauthorized access to or alteration of your account or connected platform data

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO REPLYREVIEWS IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

By You

You may cancel your account at any time from your account settings or by contacting us. Cancellation stops future billing. Access continues through the end of the current billing period. Unused credits and subscription fees are non-refundable upon voluntary cancellation.

By Us

We may suspend or terminate your account immediately and without notice if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent activity or chargebacks
• Use the Service in a way that could cause legal liability to ReplyReviews
• Fail to pay outstanding balances after notice

Where termination is not due to your breach, we will provide at least 14 days' notice and a pro-rated refund for any unused portion of a prepaid subscription period.

Effect of Termination

Upon termination, your right to access and use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including limitations of liability, disclaimers, and intellectual property provisions) will survive.

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Send an email notification to registered users at least 14 days before changes take effect
• Display an in-app notice for significant changes

Your continued use of ReplyReviews after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account before the effective date.

For minor, non-material changes (such as corrections to typos or clarifications that do not affect your rights), we may update the Terms without individual notice.
